1. Agreement to Our Legal Terms

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ('you'), and Kobus Meiring ('I', 'me', or 'my'), the individual owner and operator of Amicus TaxBot, concerning your access to and use of the website https://tax.amicus-law.com/ (the 'Site') and the AI-powered tax assistance tools and information provided thereon (collectively, the 'Services'). Amicus TaxBot is the name of the Service offered.

I reserve the right, in my sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. I will alert you about any changes by updating the 'Last updated' date of these Legal Terms, and you waive any right to receive specific notice of each such change. The Services provided by Amicus TaxBot, including any output from our AI chatbot and tools, are for general informational, educational, and estimation purposes ONLY. The information is based on a knowledge base of South African tax legislation and SARS guidelines accessible to the AI.

THE SERVICES DO NOT CONSTITUTE FINANCIAL, TAX, LEGAL, OR OTHER PROFESSIONAL ADVICE. Amicus TaxBot is not operated by a registered tax practitioner, financial advisor, or law firm. Your use of the Services does not create any form of professional-client relationship (e.g., practitioner-client, attorney-client).

While I strive to provide accurate and up-to-date information, tax laws are complex and subject to frequent change. I make no warranties or representations regarding the accuracy, completeness, reliability, or applicability of the information or calculations provided by the Services to your specific individual circumstances.

The AI systems used by the Services may produce inaccurate or incomplete information. You are solely responsible for verifying any information obtained from the Services and for all your tax and financial decisions and actions.

Your reliance on any information provided by the Services is solely at your own risk.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Those who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

3. Intellectual Property Rights

I am the owner or the licensee of all intellectual property rights in the Services, including all source code, databases, functionality, software, website designs, text, and graphics in the Services (collectively, the 'Content'), as well as the trademarks, service marks, and logos associated with Amicus TaxBot contained therein (the 'Marks').

The Content and Marks are protected by copyright and trademark laws and treaties. They are provided 'AS IS' for your personal, non-commercial use only. Subject to your compliance with these Legal Terms, I grant you a non-exclusive, non-transferable, revocable license to access the Services and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use. No part of the Services, Content, or Marks may be copied, reproduced, republished, distributed, sold, licensed, or otherwise exploited for any commercial purpose without my express prior written permission.

If permission is granted, you must identify Amicus TaxBot or Kobus Meiring as the owner and ensure any copyright notice is visible. I reserve all rights not expressly granted. Any breach of these Intellectual Property Rights will terminate your right to use the Services.

Submissions & Feedback: If you send me any questions (e.g., via the AI Chatbot), data inputs (e.g., to calculators), suggestions, ideas, or feedback about the Services ('Submissions'), you grant me a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, and publish such Submissions in an aggregated and anonymized form for the purposes of operating, improving, and developing the Services, and for creating statistical or analytical insights. You retain any intellectual property rights you may have in the original content of your Submissions. You warrant that your Submissions are original to you or that you have the right to submit them and that they do not constitute confidential information of third parties.

4. User Representations

By using the Services, you represent and warrant that: (1) you have the legal capacity and agree to comply with these Legal Terms; (2) you are not a minor in your jurisdiction (i.e., you are at least 18 years old); (3) you will not access the Services through automated or non-human means (bots, scripts, etc.) except as may be the result of standard search engine or browser usage; (4) you will not use the Services for any illegal or unauthorized purpose; and (5) your use will not violate any applicable law or regulation.

5. Access to Services & Fees

Access to the core features of Amicus TaxBot is currently provided free of charge. I reserve the right to introduce fees for certain premium features or services in the future. Any such changes regarding fees will be clearly communicated to you in advance, and your use of any fee-based services will be subject to your explicit agreement to the then-current payment terms.

6. Prohibited Activities

You may not access or use the Services for any purpose other than that for which they are made available. Prohibited activities include, but are not limited to:

• Systematically retrieving data to create a collection or database without permission.
• Any fraudulent activity or attempt to mislead other users or me.
• Interfering with security-related features.
• Using information from the Services to harass or harm another person.
• Using the Services inconsistently with applicable laws.
• Uploading viruses or other harmful material.
• Automated use of the system for purposes not intended (e.g., excessive scraping).
• Attempting to impersonate another user.
• Interfering with or disrupting the Services or networks.
• Attempting to bypass access restrictions.
• Copying or adapting the Services' software.
• Using the Services for any revenue-generating endeavor or commercial enterprise not expressly permitted.

7. User Inputs and Feedback

The Services allow you to interact with an AI chatbot and provide input into calculators. You may also have opportunities to provide feedback (collectively, 'User Inputs and Feedback'). You are solely responsible for your User Inputs and Feedback. You agree that your User Inputs and Feedback will not:

• Infringe any third-party rights, including copyright, trademark, or privacy.
• Be illegal, harassing, hateful, harmful, defamatory, obscene, false, inaccurate, or misleading.
• Violate any applicable law or regulation.

I have no obligation to monitor User Inputs and Feedback but reserve the right to remove any content or block usage if it violates these terms.

8. Services Management

I reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate action against anyone who violates these Legal Terms; (3) manage the Services in a manner designed to protect my rights and property and to facilitate the proper functioning of the Services.

9. Privacy Policy

By using the Services, you agree to be bound by the Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in South Africa. If you access the Services from other regions, you consent to your data being transferred to and processed in South Africa.

10. Term and Termination

These Legal Terms remain in effect while you use the Services. I reserve the right, without notice or liability, to deny access to and use of the Services to any person for any reason, including for breach of these Legal Terms or any applicable law. I may terminate your use or participation at any time. If your access is terminated, you are prohibited from creating a new account.

11. Modifications and Interruptions

I reserve the right to change, modify, or remove the contents of the Services at any time for any reason at my sole discretion without notice. I have no obligation to update any information on the Services. I will not be liable for any modification, suspension, or discontinuance of the Services.

I cannot guarantee the Services will be available at all times. I may experience technical problems or need to perform maintenance, resulting in interruptions. You agree that I have no liability for any loss or inconvenience caused by your inability to access or use the Services during downtime.

12. Governing Law

These Legal Terms shall be governed by and defined following the laws of South Africa. You and I irrevocably consent that the courts of South Africa shall have jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.

13. Dispute Resolution

To expedite resolution of any dispute related to these Legal Terms ('Dispute'), we agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating further action. Such informal negotiations commence upon written notice. If informal negotiations are unsuccessful, the Dispute shall be resolved through the competent courts of Cape Town, South Africa, unless otherwise agreed.

14. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. I reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information at any time, without prior notice.

16. Limitations of Liability

IN NO EVENT WILL I, OR MY AGENTS (IF ANY), BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF I HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MY LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO ME FOR THE SERVICES (WHICH IS CURRENTLY ZERO). CERTAIN LAWS MAY NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

17. Indemnification

You agree to defend, indemnify, and hold me harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your User Inputs and Feedback; (2) your use of the Services; (3) your breach of these Legal Terms; (4) any breach of your representations and warranties set forth in these Legal Terms; (5) your violation of the rights of a third party, including intellectual property rights; or (6) any overt harmful act toward any other user. I reserve the right, at your expense, to assume the exclusive defense of any matter for which you are required to indemnify me, and you agree to cooperate with my defense of such claims.

18. User Data

I will maintain certain data that you transmit to the Services (such as anonymized usage patterns and inputs to tools for the purpose of generating results) for the purpose of managing the performance of the Services, as further detailed in our Privacy Policy. You are responsible for the accuracy of data you input. While I take reasonable care in managing the service, you agree that I shall have no liability to you for any loss or corruption of such data, beyond what is outlined in the Privacy Policy.

19. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications I provide to you electronically satisfy any legal requirement that such communication be in writing. YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, AND RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES AND POLICIES INITIATED OR COMPLETED VIA THE SERVICES.

These Legal Terms and any policies posted on the Services constitute the entire agreement between you and me. My failure to exercise or enforce any right or provision shall not operate as a waiver. These Legal Terms operate to the fullest extent permissible by law. If any provision is determined to be unlawful, void, or unenforceable, that provision is severable and does not affect the validity of remaining provisions.
